Decision on minor supplementary new issue
Due to major over-subscription of the recent rights issue, the Board of Directors of Biosensor today decided to make a private placement in the approximate amount of MSEK 2.5 to shareholders and holders of subscription rights, based on a mandate by the extra general meeting of shareholders held 25 February 2009.
The rights issue recently floated by Biosensor was heavily over-subscribed. Many shareholders and holders of subscription rights showed great interest by subscribing for shares based on subscription rights and also to subscribe for share without subscription rights. Because of over-subscription, the allocation was meagre, however. In order to reward shareholders and holders of subscription rights who have displayed great interest in supporting the Company, the Board of Directors today decided to utilise an additional portion of the authorisation previously used for the recently completed rights issue in the amount of MSEK 27. Biosensor now makes a private placement of MSEK 2.5 to the aforementioned category of subscribers, making additional allocation in accordance with the allocation principles that applied to completed rights issue. The subscribers in question will be contacted shortly. It should be noted that Biosensor’s principal owners will not take part in the supplementary issue.
Comments by Bengt Hagander, President:
Our assessment is that it is beneficial to Biosensor as well as its shareholders if we are in a position to reward shareholders and holders of subscription rights, who under current uncertainty in the financial market have demonstrated their support for the Company.
