Decision on set-off issue
Today, 4 November 2008 the Board of Directors of Biosensor decided to make a set-off issue of 6,147,172 class A shares at a subscription price of approximately SEK 0.90 per class A share without regard to the pre-emptive rights of existing shareholders. The set-off issue is to be placed with S-sens GmbH.
On 1 November 2007 51 percent of the shares and votes in Biosensor GmbH were acquired from S-sens GmbH at a price of SEK 5,526,600. Through the set-off issue 6,147,172 new class A shares will be issued at a subscription price of approximately SEK 0.90 per class A share, the effect of which is that S-sens GmbH’s claim on Biosensor is offset in accordance with an agreement between the parties. The set-off issue involves dilution of approximately 1.5 percent for Biosensor’s existing shareholders. The newly issued shares do not entitle their holder to receive subscription rights in Biosensor’s upcoming rights issue.

Biosensor GmbH is primarily active in development. A major portion of the integration between Biosensor’s existing and new complementary technology takes place in the subsidiary, which is under contract to acquired gradually by Biosensor Applications Sweden AB. Biosensor has a contractual right to acquire the remaining 49 percent of the company.
